Genta Completes Over-Allotment Option in Equity Placement

Proceeds Increase to $32.7 Million

BERKELEY HEIGHTS, NJ, December 3, 2001 - Genta Incorporated (Nasdaq: GNTA) today announced that the Company completed an over-allotment option in its recent private equity placement for an additional 300,000 common shares, thereby increasing total proceeds from the 2.5 million share offering to $32.725 million.
